These Terms of Service ("Terms") are a binding agreement between you and Lee Hansel Solevilla Jr., an individual operating the Salyn service from Dubai, United Arab Emirates ("Salyn", "we", "us"). They govern your access to and use of the Salyn dashboard, marketing pages, API, integrations, and meeting-bot features (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account. You are responsible for keeping your credentials secure and for all activity under your account. Notify us at [email protected] if you suspect unauthorized access.
2. What the Service does
Salyn lets you upload audio or video recordings of meetings, or record them directly in the dashboard, and returns generated notes that may include a brief, decisions, action items, and a speaker-labeled transcript. Salyn may also let you schedule an online-meeting bot to join supported conference links, sync Google Calendar events that contain supported conference links, ask questions about meetings, and share meetings with others. Bot recording is provided through Recall.ai, transcription is performed by AssemblyAI, and generative outputs are produced by Google's Gemini model. The Service is provided on a pay-as-you-go credit basis; there is no recurring subscription required to maintain an account.
3. Recording consent and lawful use
You represent and warrant that you have the right to upload, record, and process every recording you submit to the Service, and that you have obtained all consents required by applicable law from each participant in the recording — including, where required, two-party or all-party consent under the wiretapping and privacy laws of every jurisdiction involved.
If you schedule a bot, you also represent and warrant that you have authority to invite the bot to the meeting, that the meeting host or organizer permits bot recording, that you will notify participants as required before the bot records, and that your use follows the rules of the meeting platform. A visible bot name, meeting-platform notice, or Salyn UI notice may not be enough to satisfy the laws that apply to you. Salyn does not monitor whether you have obtained consent.
You are solely responsible for compliance with these laws and must not use the Service for covert surveillance, unlawful interception, harassment, workplace monitoring that violates applicable law, or any recording you would not be legally permitted to make yourself.
4. Acceptable use
You agree not to use the Service to:
- Upload content you do not have the right to upload, or that infringes any third party's intellectual property, privacy, publicity, or other rights.
- Upload content that is unlawful, defamatory, harassing, sexually explicit involving minors, or otherwise harmful.
- Record or attempt to record a meeting without all notices, permissions, and consents required by applicable law or platform rules.
- Attempt to reverse engineer, scrape, overwhelm, probe, or otherwise interfere with the Service or its underlying providers.
- Resell, sublicense, or provide the Service to third parties as a hosted offering without our written permission.
- Use the Service to develop a competing transcription or meeting-notes product, including by using outputs to train a competing AI model.
- Use the Service in violation of sanctions, export-control rules, or restrictions that apply to you, Salyn, our providers, or the people whose meetings you process.
We may suspend or terminate accounts that violate this section.
5. Your content
Recordings, transcripts, generated notes, contacts, and chat questions you submit, meeting URLs you provide, calendar-imported meeting metadata, and bot recordings you request (together, "Your Content") remain yours. You grant Salyn a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, transcribe, summarize, display, record through a meeting bot, and share Your Content only as needed to operate the Service for you and the people you choose to share with, and as needed to provide it to the sub-processors described in our Privacy Policy.
We do not use Your Content to train our own or any third-party AI models, and our AI processing sub-processors are configured under terms that prohibit training general-purpose models on customer data.
6. AI-generated output
Generated briefs, summaries, action items, and chat answers are produced by large language models and may be inaccurate, incomplete, or out of date. You are responsible for reviewing AI outputs before relying on them, especially before sharing them with other parties or using them to make business, legal, medical, or financial decisions. The Service is not a substitute for professional advice.
7. Third-party providers and meeting platforms
Salyn depends on third-party providers and meeting platforms, including Google, Recall.ai, AssemblyAI, and the platform that hosts the meeting you ask Salyn to process. Those services may reject, delay, block, remove, throttle, or fail a recording, bot, webhook, calendar sync, transcription, summary, or export. Salyn is not responsible for third-party service outages, platform policy decisions, host refusal to admit a bot, changes to meeting-platform behavior, or content removed or made unavailable by a third party.
You are responsible for complying with the terms and policies of the meeting platform, calendar provider, and account you use with the Service.
8. Credits, fees, and refund handling
Salyn is pay-as-you-go. Processing a recording consumes credits based on the duration of audio processed at the rate listed on the pricing page. Before processing, the dashboard shows a duration and credit estimate. By confirming processing, you authorize the credit charge.
Credits are a dollar-denominated account balance for using Salyn features only. They are not cash, stored value, a bank account, e-money, cryptocurrency, a gift card, or a general-purpose payment instrument. Credits are not transferable, cannot be sold or exchanged, and cannot be redeemed or withdrawn for cash except where required by applicable law.
Bot recording consumes credits based on the provider-reported active bot session time at the rate shown in the product or pricing page. Active bot time may include time spent joining, waiting to be admitted, sitting in a waiting room, or being present without recording if the bot provider reports that time as billable. Meeting hosts are responsible for admitting Salyn Notetaker promptly. We do not refund bot-session charges solely because a host did not admit the bot, a participant objected, or the meeting platform limited bot access after the bot was dispatched.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for paid orders. Paddle provides payment support and handles returns, chargebacks, statutory withdrawal rights, tax refunds, and approved refunds for transactions it processes. Paddle's buyer terms and refund rules may apply in addition to these Terms.
Purchased credits are final and non-refundable except where required by applicable law, Paddle's buyer terms, or a verified billing error. We do not provide discretionary cash refunds or credit cash-outs. If a processing attempt fails due to a Salyn-side error, we may restore the consumed credits for that attempt or ask Paddle to refund the affected transaction where required or appropriate. 9. Service availability
We do our best to keep the Service available, but we do not guarantee that it will be uninterrupted, secure, or error-free. Maintenance, upstream provider outages, or other circumstances may cause delays in processing or temporary unavailability of features.
10. Termination
You can stop using the Service or close your account at any time by emailing [email protected]. We may suspend or terminate access if you breach these Terms, fail to pay outstanding amounts, or if continued operation creates legal or security risk. On termination, your access ends; data deletion follows the retention rules in our Privacy Policy.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI-generated outputs, and uninterrupted operation, to the maximum extent permitted by law.
Salyn does not provide legal, compliance, medical, financial, or professional advice. You are responsible for determining whether your recording, transcription, retention, sharing, and use of meeting outputs is lawful and appropriate for your circumstances.
12. Limitation of liability
To the maximum extent permitted by law, Salyn and Lee Hansel Solevilla Jr. will not be liable under any legal theory for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, recordings, transcripts, calendar data, or AI-generated outputs, arising out of or in connection with the Service, third-party providers, meeting platforms, or these Terms.
To the maximum extent permitted by law, Salyn's and Lee Hansel Solevilla Jr.'s total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amounts you paid Salyn in the twelve months preceding the claim, and (b) one hundred United States dollars (USD 100). Some jurisdictions do not allow certain exclusions or limitations, so some of this section may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Salyn and Lee Hansel Solevilla Jr. from any claim, liability, damages, loss, and expense (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your failure to obtain recording notices, permissions, or consents required by law; (d) any claim by a meeting participant, host, employer, customer, or platform related to a meeting you record or process; (e) your violation of a third-party provider's or meeting platform's terms; or (f) sanctions, export-control, privacy, employment, or confidentiality obligations that apply to you or your meetings.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify account holders by email or in-product notice. Continued use after an update constitutes acceptance of the revised Terms.
15. Governing law
These Terms are governed by the federal laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the competent courts of Dubai, and each party submits to the personal jurisdiction of those courts.
